Ensuring Healthy and Sustainable Growth: AGMS of Bank OCBC NISP Agrees to Allocate Their Nett Profit to Strengthen Its Business

Bank OCBC NISP continues its commitment to strengthen Indonesian economy by facilitating and inspiring people to be actively involved in creating a better Indonesia, supported by Bank’s banking solutions, among others sustainable financing portfolio, digital initiatives and CSR programs

 

Jakarta, April 2, 2020 – Today, Bank OCBC NISP held its Annual General Meeting of Shareholders (“AGMS”) and obtained approval for the entire meeting agendas.

 

The shareholders approved all five meeting agendas, including:

  • The Company’s Annual Report for Fiscal Year 2019
  • The stipulation on the 2019 net profit to strengthen Company’s capital and will not be distributed as dividend. This stipulation is to ensure the Bank’s healthy and sustainable growth.
  • The Company’s shares buyback at a maximum of 400,000 shares for variable remuneration in accordance with the Financial Services Authority Regulation (POJK) No. 45/POJK.03/2015.
  • Granting the authority to the Board of Commissioners, to appoint a Public Accountant and Public Accounting Firm to audit the financial statements of the Company for the financial year 2020
  • Changes in the composition of the Company's management and the determination of remuneration, as follows:
    • Reappointment of members of the Board of Commissioners and the Board of Directors for the term of office effective from the closing of this AGMS until the closing of Company’s AGMS in 2023, except for Peter Eko Sutioso who has reached the maximum age set by the Company.
    • Accepted the resignation of Mirah Wiryoatmodjo as Director which will take effect starting from the closing of this AGMS and appointed Lili S. Budiana and Ka Jit as Directors effective after obtaining OJK approval until the closing of Company’s AGMS in 2023.
    • Reappointment of Sharia Supervisory Board which will take effect starting from the closing of this AGMS until the closing of Company’s AGMS in 2023.

 

Amidst the dynamic global and domestic economic throughout 2019, Bank OCBC NISP managed to maintain a stable financial performance by recording a net profit growth of 11% to Rp2.9 trillion from Rp2.6 trillion in 2018. Guided by prudent principle, Bank OCBC NISP also managed to maintain the stability of its intermediary function in 2019. In 2020, Bank OCBC NISP will continue to increase its competitive advantage by strengthening business models and management team. These steps are taken to ensure the well  implementation of the Bank's strategies and initiatives, enabling the Bank to face the competitiveness of the financial industry.

Bank OCBC NISP has also strengthened its commitment by joining the Indonesian Sustainable Financial Initiative (IKBI) in November 2019. In 2020, Bank OCBC NISP also obtained sustainable funding facility from the International Finance Corporation (IFC) with amount up to IDR2.75 Trillion to provide green financing and empowering women's SMEs. This is the first financing program to empower women-owned SMEs in Indonesia.

 

Bank OCBC NISP's commitment to carry out a responsible banking business practices will be strengthened through various empowerment initiatives towards Indonesian society to achieve their 'Financial Independence' as well as being part of managing the environmental footprint. Bank OCBC NISP provides various digital innovations as part of the ‘Beyond Traditional Banking' strategy to assist people in achieving their financial aspirations. Strengthening this commitment, Bank OCBC NISP enhanced ONe Mobile application that allows customers not only for transactions but also manage their finances and investments easily, quickly and affordably.
